1. Service Description
e-Posy is a web application that allows users to create procedurally generated digital flower bouquets and share them with others via SMS or email. The service includes free bouquet creation and paid delivery features. By accessing or using the service, you agree to be bound by these terms.
2. Eligibility
You must be at least 13 years old (or 16 in the EU/EEA) to use this service. By using e-Posy, you represent that you meet this age requirement. If you are using the service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
3. Payments & Pricing
SMS and email delivery is a paid service. Pricing varies by region and is displayed at the time of purchase in your local currency. All payments are processed securely through Stripe. Credits and codes are non-refundable, non-transferable for cash value, and do not expire. We reserve the right to change pricing at any time; existing purchased credits will be honoured at the rate at which they were purchased.
4. SMS & Email Delivery
We use third-party providers (Twilio for SMS, email services for email) to deliver messages. While we make every effort to ensure delivery, we cannot guarantee delivery to all carriers, email providers, or regions. If a message fails to deliver due to an invalid number or email address, no refund or credit is provided. Scheduled messages are sent at the approximate time requested but may be subject to delays of up to 15 minutes. We are not responsible for messages filtered by spam filters or carrier policies.
5. Acceptable Use
You agree not to use this service to send spam, unsolicited messages, harassing, threatening, defamatory, obscene, or illegal content. You must have prior consent from the recipient to send them messages. You may not use the service to impersonate others, send fraudulent content, distribute malware, or conduct phishing. We reserve the right to suspend or terminate access immediately and without notice for violations of this policy.
6. Intellectual Property
The procedural flower generation algorithms, source code, design, and the e-Posy brand, logos, and trade dress are owned by us and protected by applicable intellectual property laws. Bouquets you create are yours for personal, non-commercial use. You may download, share, and display your bouquet images freely. You may not reverse-engineer the generation algorithms, use automated tools to mass-generate bouquets, or use the service or its output for commercial purposes without written permission.
7. User Content & Messages
You are solely responsible for the content of any messages you send through the service. By sending a message, you represent that you have the right to send it and that it does not violate any law or third-party rights. We do not monitor message content but reserve the right to refuse delivery of messages that violate these terms.
8. Disclaimer of Warranties
e-Posy is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall e-Posy, its operators, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the service. Our total aggregate liability for all claims is limited to the amount you actually paid us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless e-Posy, its operators, affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the service, your violation of these terms, or your violation of any rights of a third party.
11. Termination
We may suspend or terminate your access to the service at any time, with or without cause, and with or without notice. Upon termination, your right to use the service ceases immediately. Any unused credits may be forfeited upon termination for cause. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
12. Modifications to Terms
We reserve the right to modify these terms at any time. Changes become effective upon posting to the website. Your continued use of the service after any changes constitutes acceptance of the updated terms. Material changes will be communicated via the website with reasonable notice. If you do not agree with the revised terms, you must stop using the service.
13. Governing Law & Disputes
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where prohibited by local law. For EU/EEA residents, nothing in these terms affects your mandatory statutory consumer rights under applicable law, and you retain the right to bring proceedings in your country of residence. We encourage resolution through direct communication before formal proceedings.
14. Severability
If any provision of these terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These terms, together with the Privacy Policy, constitute the entire agreement between you and e-Posy regarding the service. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
16. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics or pandemics, government actions or regulations, power outages, internet or telecommunications failures, third-party service provider outages, labour disputes, or cyberattacks. During any force majeure event, our obligations are suspended for the duration of the event.
17. Anti-Abuse & Rate Limiting
To protect the integrity of the service and its users, we enforce rate limits and anti-abuse measures. You may not use automated scripts, bots, or other programmatic means to access the service, create bouquets, send messages, or circumvent rate limits. Excessive or unusual activity may result in temporary or permanent suspension of access without prior notice. We reserve the right to implement CAPTCHAs, verification checks, or other anti-abuse mechanisms at any time.
18. Third-Party Links & Content
The service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third-party content, goods, or services.
19. No Waiver
Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by us. No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof or the exercise of any other right or remedy.
20. Assignment
You may not assign or transfer these terms or your rights or obligations hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign or transfer these terms freely, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets. Any attempted assignment in violation of this section shall be null and void. Subject to the foregoing, these terms shall bind and inure to the benefit of the parties and their respective successors and assigns.
21. Electronic Communications
By using the service, you consent to receiving electronic communications from us, including emails, SMS messages (related to your purchases and account), and notices posted on the website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
22. Feedback
Any feedback, suggestions, ideas, or other information you provide to us regarding the service shall be deemed non-confidential and non-proprietary. By submitting feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, distribute, and display such feedback for any purpose without compensation or attribution to you.
23. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the US Department of Commerce, trade and economic sanctions maintained by the Office of Foreign Assets Control, and the International Traffic in Arms Regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive trade sanctions.
